Agreement

Welcome to PitchABC. This website and application (the "Platform") is operated by PitchABC LLC ("PitchABC", "we", "us", or "our"). By accessing or using the Platform you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Platform.

What PitchABC Is

PitchABC is an online SaaS marketplace that provides startup founders with digital tools for investor-readiness evaluation, tailored roadmaps, and curated connections to accredited investors. PitchABC is a technology platform only. We are not a broker-dealer, investment adviser, funding portal, or securities intermediary, and nothing on the Platform constitutes investment advice or a solicitation to buy or sell any security. All investment decisions are the sole responsibility of the parties involved.

Defined Terms

• Customer Data — all data, content, and materials that a user submits to the Platform, including personal data.
• Derived Data — data or insights created by the Platform through aggregation, anonymization, or other processing of Customer Data that do not identify any individual.
• AI Output — any analyses, readiness scores, recommendations, coaching, or other content generated in whole or in part by artificial-intelligence or machine-learning models within the Platform.
• Security Incident — unauthorized access to, or disclosure or destruction of, unencrypted Customer Data stored or processed by PitchABC.

Eligibility & Accreditation

You must be at least 18 years old to use the Platform. PitchABC does not knowingly collect information from persons under 13. Investors who wish to view founders currently raising capital must be verified accredited investors under applicable securities laws. By submitting accreditation documents you represent and warrant that the information provided is accurate and complete.

Your Account

You are responsible for keeping your credentials secure and for all activity under your account. You may not transfer or assign your account. PitchABC may deny service, suspend, or terminate accounts at its sole discretion.

AI Output & Readiness Scores

The Platform uses artificial-intelligence models to extract signals, generate readiness scores, produce coaching content, and create narrative summaries. AI Output is provided for informational purposes only. PitchABC does not guarantee the accuracy, completeness, or fitness for any particular purpose of any AI Output. Readiness scores reflect the Platform's proprietary rubric applied to the information you provide — they are not a guarantee of investment success or investor interest. PitchABC is not liable for outcomes based on reliance on scores or AI Output.

Privacy & Data Processing

Your use of the Platform is subject to our Privacy Policy, incorporated herein by reference. We process personal data in accordance with applicable data-protection laws. By using the Platform you consent to the collection, processing, and storage of your data as described in the Privacy Policy.

Subscriptions & Billing

Intellectual Property

All Platform content, including the scoring rubric, question bank, software, graphics, and logos, is the property of PitchABC LLC or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. You may not reverse-engineer, resell, reproduce, or create derivative works from any Platform content without express written permission.

Data Security & Incident Response

PitchABC implements reasonable technical and organizational measures to protect Customer Data. Upon confirming a Security Incident, we will notify affected users without undue delay (and within 72 hours where required by law), describe the nature and scope of the incident, and cooperate with applicable breach-notification obligations. The Platform is not intended as your sole data repository; you are responsible for maintaining independent backups of your data.

Third-Party Services

The Platform integrates third-party services including Stripe (payments), Postmark (email), AWS S3 (file storage), and Anthropic (AI processing). By using the Platform you consent to the sharing of relevant data with these providers as necessary to deliver the service. PitchABC is not responsible for the practices of third-party services.

Prohibited Use

You may not use the Platform for any unlawful purpose, to harass or harm others, to transmit spam or malware, to attempt unauthorized access to any system, or in any manner that could impair the Platform or interfere with other users.

Disclaimer of Warranties

The Platform and all content, software, products, and services are provided "as is" without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. PitchABC does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, PitchABC and its officers, directors, employees, and agents shall not be liable for any indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of the Platform, even if advised of the possibility of such damages. PitchABC's total liability for any claim shall not exceed the fees paid by you in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold harmless PitchABC, its officers, directors, employees, and agents from any claims, losses, costs, and expenses (including reasonable attorney's fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved by final and binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association before a single neutral arbitrator. The parties waive the right to bring any claim as a plaintiff or class member in any class or representative proceeding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of courts located in Virginia for any dispute not subject to arbitration.

Modifications

PitchABC reserves the right to amend these Terms at any time. We will update the "Last updated" date above and, for material changes, notify you by email. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
